What You Need to Register a Limited Company

Here’s what you’ll need to register a company

Company name – You must select a company name that’s unique and not already registered with Companies House. If you’re stuck in selecting a name for your business that meets regulatory requirements, we’re always happy to help.

Registered office address – The official address is designated for receiving correspondence from HMRC and Companies House. Make sure the address is within the UK, correct and up-to-date. At A & Co Accountants, we can provide a registered office address service to keep your home address private.
Director details – Your limited company should have at least one director aged 16 or over. We’ll need full name, date of birth, service address, nationality, country of residence, and occupation of the director for registration.

Shareholder information – You’ll need at least one shareholder (who can also be a director). We’ll need full name and address, number of shares allocated, and share class and value.

SIC code – Your Standard Industrial Classification code describes your business activities. We’ll help you select the right one for your business.
Memorandum and Articles of Association – These documents detail your company’s constitution. With A & Co Accountants, you’ll get standard templates to create your memorandum and articles of association.

ID documents – We are obligated to request your ID documents and proof of address to thwart money laundering. As an Authorised Corporate Service Provider, we conduct identity verification on behalf of Companies House.

We take care of the entire registration process as an ACSP, verify all information submitted and request Companies House for registration on your behalf.

Companies House usually registers companies within 24 hours. After receiving your certificate of incorporation and company registration number, we assist you in setting up your business bank account and ensuring you’re ready to trade legally.

What if you stop trading after six months of starting it? You can make it a dormant company; however, you will still need to file annual accounts with Companies House. Our fees reduce to £20 plus VAT per month for a dormant company for continued support. This way, you can stay compliant even when you aren’t actively trading.

Do I Have to Be in the UK to Form a Company?

No, you don’t have to be a UK resident to form a UK limited company. However, you will need a UK registered office address and at least one director (who can be based anywhere).

Ongoing Support and Compliance Services

Company formation is the start of a long trading journey where ensuring regulatory compliance is critical. That said, non-compliance with HMRC and Companies House can lead to penalties.

Your Compliance Requirements

Every company is required to file a confirmation statement annually with Companies House to verify that its information is current and accurate. The filing fee is £13. Your year-end accounts are due at Companies House 9 months after your individual year end.

At A & Co Accountants, we can help prepare your confirmation statement and file it before the deadline. You are required to submit your filings to HMRC within 12 months following the end of your accounting period.

Your corporation tax payment to HMRC is due 9 months and 1 day following the end of your financial year. We’ll inform you of the amount payable based on the monthly reports you submit to us. All limited companies must file a corporation tax return, even if you made no profit.

For turnover exceeding £90,000, HMRC requires you to register for VAT and submit regular returns. Your VAT is payable to HMRC four times a year, one month after each quarter end. We will calculate your VAT, inform you of the payment amount, and submit your quarterly VAT return to HMRC.

If you hire staff or pay yourself a salary, you must operate PAYE (Pay As You Earn) and submit regular reports to HMRC. We’ll free you from these responsibilities so you can win more clients.
