What You Need to Register a Limited Company
With all required information at hand, registering a limited company in the UK is not a big hassle. The process is simpler than most people think, and we'll guide you through every step.
Here’s what you’ll need to register a company
- Company name – You must select a company name that's unique and not already registered with Companies House. If you're stuck in selecting a name for your business that meets regulatory requirements, we're always happy to help.
- Registered office address – The official address is designated for receiving correspondence from HMRC and Companies House. Make sure the address is within the UK, correct, and up-to-date. At A & Co Accountants, we can provide a registered office address service to keep your home address private.
- Director details – Your limited company should have at least one director aged 16 or over. We'll need the full name, date of birth, service address, nationality, country of residence, and occupation of the director for registration.
- Shareholder information – You'll need at least one shareholder (who can also be a director). We'll need the full name and address, number of shares allocated, and share class and value.
- SIC code – Your Standard Industrial Classification code describes your business activities. We'll help you select the right one for your business.
- Memorandum and Articles of Association – These documents detail your company's constitution. With A & Co Accountants, you'll get standard templates to create your memorandum and articles of association.
- ID documents – We are obligated to request your ID documents and proof of address to prevent money laundering. As an Authorised Corporate Service Provider, we conduct identity verification on behalf of Companies House.
The Company Formation Process: Step-by-Step Guide with A & Co
Once you've gathered everything needed, our process takes over. We check for the availability of your company name and recommend the right package that suits your needs. All of these are done through our free consultation service.
If you opt for our service, we'll need you to submit your documents through our secure online portal.
We take care of the entire registration process as an ACSP, verify all information submitted, and request Companies House for registration on your behalf.
Companies House usually registers companies within 24 hours. After receiving your certificate of incorporation and company registration number, we assist you in setting up your business bank account and ensuring you're ready to trade legally.
What if you stop trading after six months of starting it? You can make it a dormant company; however, you will still need to file annual accounts with Companies House.
Our fees are reduced to £20 plus VAT per month for a dormant company for continued support. This way, you can stay compliant even when you aren't actively trading.
Ongoing Support and Compliance Services
Company formation is the start of a long trading journey where ensuring regulatory compliance is critical. That said, non-compliance with HMRC and Companies House can lead to penalties.
Your Compliance Requirements
Running a limited company comes with several ongoing compliance obligations. Staying on top of these deadlines is essential to avoid penalties and keep your business fully compliant.
Companies House Requirements
- Every company must file an annual confirmation statement with Companies House to confirm that company information is accurate and up to date.
- The Companies House filing fee is £13.
- Annual accounts must be filed with Companies House within 9 months of your financial year-end.
At A & Co Accountants, we can prepare and submit your confirmation statement and annual accounts on your behalf before the relevant deadlines.
HMRC Requirements
Corporation tax returns must be submitted to HMRC within 12 months of the end of your accounting period.
Corporation tax payments are due 9 months and 1 day after your financial year-end.
All limited companies must file a corporation tax return, even if no profit was made.
We’ll calculate your corporation tax liability based on the reports you provide and keep you informed of all upcoming payment obligations.
VAT Obligations
If your turnover exceeds £90,000, you must register for VAT with HMRC.
VAT returns are usually submitted quarterly.
VAT payments are due one month after the end of each VAT quarter.
We can manage your VAT registration, calculate the amount payable, and submit your VAT returns directly to HMRC.
PAYE and Payroll
If you hire employees or pay yourself a salary as a director, you must operate PAYE (Pay As You Earn) and submit regular payroll reports to HMRC.
Our team can handle your payroll and PAYE responsibilities for you, allowing you to focus on growing your business and serving your clients.

Frequently Asked Questions About UK Company Formation Services
What does a company formation agent do?
A company formation agent helps entrepreneurs set up a limited company correctly and efficiently. This includes registering the business with Companies House, preparing incorporation documents, verifying identity requirements, and assisting with essential setup tasks such as VAT registration, PAYE, and business bank accounts. Using a professional company formation agent helps ensure your business is compliant from day one and reduces the risk of costly mistakes.
What is a limited company?
A limited company is a business structure where a company is made legally separate from its owners. The owners are called "stockholders" of the company. It possesses its own assets and contracts and is responsible for its debts separate from those who manage it. The main advantage of a limited company is its limited liability—your personal assets are generally protected if the company faces financial difficulties.
Why should I form a limited company?
It's recommended to operate as a limited company rather than a sole trader.
As a limited company, you'll get more tax planning opportunities for income over £50,000.
Additionally, you can pay yourself with a mix of salary and dividends, which may be more tax-efficient than taxing all your earnings as income.
From our experience, we have seen a lot of clients preferring partnering with limited companies for the commitment and professionalism they can offer.
Your personal assets enjoy protection through limited liability, ensuring that the company remains viable even amidst changes in ownership.
Do I need a business bank account to register a company?
Yes, since limited companies own their own assets, you must open a separate business account. This legal separation of personal and business finances makes accounting easier while also helping you stay compliant with HMRC requirements.
At A & Co Accountants, we'll guide you every way—from start to finish. We'll walk you through all available banking options that would facilitate your business as a small business or a contractor.
Are there any hidden costs when you form a company?
No, at A & Co Accountants, there are no hidden charges imposed. We are transparent with our pricing. Our monthly packages start at £175 plus VAT and include comprehensive support to ensure compliance.
Additional costs include the annual confirmation statement (£13 to Companies House), filing annual accounts, corporation tax returns, and ongoing accounting services. We're happy to provide you with a clear breakdown of all costs upfront so you know exactly what to expect.
Do I have to be in the UK to set up a limited company?
No, you don't have to be a UK resident to form a UK limited company. However, you will need a UK-registered office address and at least one director (who can be based anywhere).
We have experience in helping cross-border entrepreneurs who set up a UK presence. We're happy to help non-UK residents through any additional requirements.
